Artist Sticker Agreement

Summary:

This contract between Camano Commons Marketplace and an artist allows the Marketplace to use the artist's work for sticker production. In return, the artist receives a $1.00 royalty per sticker produced in batches of at least 50, which will be paid at production. The Marketplace can sell these stickers through all its channels. 

This Contract Agreement (the "Agreement") is made by and between Camano Commons Marketplace, a business organized under the laws of the State of Washington with its principal place of business at 848 N Sunrise Blvd Ste C (hereinafter referred to as the "Marketplace"), and [Artist], an individual residing at [Address (See Below)] (hereinafter referred to as the "Artist"). The Marketplace and the Artist may be referred to individually as a "Party" and collectively as the "Parties."

WHEREAS, the Artist is a professional artist engaged in the creation of artwork;

WHEREAS, the Marketplace is engaged in the business of selling various items, including stickers, through its store and other sales channels;

WHEREAS, the Marketplace desires to obtain certain rights to utilize the Artist's artwork for sticker production;

NOW, THEREFORE, in consideration of the mutual covenants, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

Grant of Rights

The Artist hereby grants to the Marketplace, for the Term of this Agreement, the non-exclusive, worldwide, and royalty-bearing right to reproduce, distribute, display, and sell the Artist's artwork, as submitted by the Artist to the Marketplace (the "Artwork"), solely in connection with the production and sale of stickers (the "Stickers"). 

The Marketplace has the right to add words and verbiage to the sticker. The Marketplace will send over the idea for the words to the artist, and the artist will have 3-days to veto the overlaid words. The artist also can execute the Artist Purchase Rights at any point as well.

Royalty Payments

In consideration of the rights granted herein, the Marketplace shall pay the Artist a royalty fee of $1.00 per Sticker (the "Royalty Fee") produced. The Marketplace shall purchase the Stickers in quantities of no less than 50 at a time. The Marketplace shall pay the Artist at time of production. 

Artist's Purchase Rights

The Marketplace agrees to allow the Artist to purchase the Stickers at a price of the cost of the sticker plus $0.25 per Sticker for the Artist's personal use or resale. The Artist shall notify the Marketplace of their intention to purchase any Stickers and the desired quantity, and the Marketplace shall make the Stickers available for purchase by the Artist within a reasonable time thereafter.

Sales Channels

The Marketplace shall have the right to sell the Stickers through its store and any of its sales channels, including but not limited to its online store, in-store, and at other events it may attend.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue for a period of one (1) year, unless terminated earlier by mutual written agreement of the Parties. This Agreement shall automatically renew for successive one (1) year terms unless either Party provides written notice of its intention not to renew at least thirty (30) days prior to the expiration of the then-current term.

Notwithstanding the termination or non-renewal of this Agreement, Stickers produced during the contractual period will continue to be valid and subject to the terms of this Agreement. In the event of termination or non-renewal, the Artist shall have the option to purchase back all remaining Stickers in the Marketplace's inventory at the agreed upon price of cost of the sticker plus $0.25 per sticker, at which point the Marketplace's rights to sell the stickers shall cease.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Washington, without giving effect to any choice or conflict of law provision or rule.

Entire Agreement

This Agreement constitutes the entire agreement of the Parties with respect to the subject matter contained herein and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
